The Securities and Exchange Board of India (SEBI) has issued a circular ( HO/24/13/17(1)2026-IMD-POD-1/I/16895/2026 dated 21 July 2026) updating the certification rules for Specialized Investment Fund (SIF) distributors.
This update formally modifies Paragraph 21.10 of the SEBI Master Circular for Mutual Funds and establishes NISM-Series-V-D as the unified, single‑license certification required to distribute both traditional Mutual Funds and SIFs. (To give more context, if You are new to this discussion, as of now to be eligible to distribute SIF products, one need to pass both NISM V-A MFD Certification Exam AND NISM XIII Common Derivatives Exam)
Here is the clause‑by‑clause compliance breakdown, key deadlines, and what it means for distributors and AMCs.
5 Updates in SEBI Circular relevant for MFDs and SIF Distributors (Or who want to be one in future!)
1. NISM-Series-V-D Becomes the Unified MF + SIF License
Under Paragraph 21.10.1, any person employed or engaged in the sale and/or distribution of SIF products must hold a valid NISM Series-V-D: Mutual Fund – Specialized Investment Fund Distributors Certification.
Clearing NISM V‑D automatically qualifies you to distribute both Mutual Funds and SIF products. You do not need to maintain a separate NISM-Series-V-A certificate alongside NISM V‑D.
2. Pure Mutual Fund Distributors Stay on NISM V-A
Paragraph 21.10.2 protects existing retail‑only distributors.
If your business focuses strictly on traditional mutual funds, equity schemes, and retail SIPs—without touching SIFs—your current NISM Series V-A certification remains fully compliant.
There is no mandate to upgrade to V‑D unless you choose to enter the SIF market.
3. NISM-Series-XIII Requirement Sunsets on 21 September 2026
Previously, distributing SIFs required clearing the dealer‑oriented NISM-Series-XIII: Common Derivatives exam along with having a valid ARN Number.
Under Paragraph 21.10.3, the requirement to hold NISM XIII for SIF distribution will officially end on 21 September 2026.
-
After this date, NISM XIII will no longer grant entry into SIF distribution.
-
NISM V‑D becomes the standard certification for SIF distributors.
4. Grandfathering Period for Existing V-A + XIII Holders
Paragraph 21.10.4 introduces a transition “grandfathering” arrangement for current SIF distributors:
-
If you obtain a valid NISM-Series-XIII certificate on or before 21 September 2026, you are not required to take NISM V‑D immediately.
-
You may continue distributing SIFs until your existing NISM XIII certificate expires.
Conditions during this transition period:
-
You must keep your NISM-Series-V-A certificate valid throughout this transition.
-
Once your current NISM XIII lapses, you must pass NISM-Series-V-D to continue distributing SIFs (Some more clarity required on this)
5. Mandatory Enforcement by AMCs and AMFI
Paragraph 21.10.5 mandates that the Association of Mutual Funds in India (AMFI) and Asset Management Companies (AMCs) enforce these new standards across:
-
Empanelment
-
Onboarding
-
Ongoing compliance checks
In practice, you should expect AMCs and AMFI to update their forms, due‑diligence checklists, and distributor validation processes to reflect NISM V‑D as the new SIF benchmark.
